SERVICE AGREEMENT

Last updated January 5, 2026

This Service Agreement (this "Agreement") is entered into by and between PrepVia LLC, a Florida limited liability company ("PrepVia"), and the individual or entity engaging PrepVia's services ("Client"), regardless of the Client's country of incorporation or residence. This Agreement applies to all clients, whether domestic or international. For purposes of this Agreement, "Services" means logistics, warehousing, product preparation, labeling, fulfillment, forwarding, and related services performed by PrepVia; "Inventory" means the Client's goods submitted to PrepVia for storage, preparation, or fulfillment; and "Marketplace" means any sales channel, carrier, or fulfillment program designated by the Client (including but not limited to Amazon FBA, Walmart, Shopify, and B2B distribution). By using the Services, submitting Inventory, or accessing the website, the Client agrees to be bound by this Agreement. The Client represents that it is at least eighteen (18) years old or the legal age of majority in its jurisdiction.

1. Scope of Services and Quality Commitment

PrepVia provides Services to e-commerce sellers and businesses, including without limitation logistics, warehousing, product preparation, labeling, fulfillment, forwarding, import coordination, and storage. PrepVia operates strictly as a service provider and does not engage in retail competition with its clients. Service pricing may be updated with advance written notice and shall not apply retroactively.

PrepVia commits to delivering the Services at a professional standard of quality, consistent with the acceptance requirements of the Client's designated Marketplace, carrier, or fulfillment channel. Where an error in preparation, labeling, packaging, or handling is clearly attributable to PrepVia's negligence or lack of professionalism, PrepVia shall refund the service fees associated with the affected units. Such errors must be documented and reported by the Client in writing within ten (10) business days of discovery (and in any event no later than thirty (30) days after the relevant Services are performed) with supporting evidence (photographs, shipment records, Marketplace rejection notices, or equivalent). PrepVia and the Client shall jointly review the claim in good faith before any refund is issued.

2. Term, Termination, and Renewal

This Agreement becomes effective when the Client first uses the services and continues until terminated.

The Client may terminate with 30 days written notice.
PrepVia may terminate for breach of payment obligations or violation of terms.

3. Payment Terms

Payments may be processed through Stripe, wire transfer, or other approved methods.

  • 5-day payment grace period
  • 5% late fee after due date
  • 7% monthly charge after 30 days unpaid

PrepVia may take legal action or withhold shipments for non-payment.

4. Storage and Abandonment

Storage is billed monthly.
Unpaid storage beyond 35 days may result in inventory disposal or liquidation.

5. Refunds

All service fees are non-refundable once preparation begins.

6. Client Responsibilities

10. Indemnification

The Client agrees to indemnify PrepVia against claims arising from misuse of services or inaccurate information.

11. Importation and Customs
